The base consideration consists of 70 percent shares—offering 2.7 PPI shares per Preservium share—and 30 percent cash at SEK 69 per share. Shareholders are also offered a "mix & match" option.
The bid represents a premium of approximately 44.4 percent over Preservium’s closing price on September 28 based on PPI’s net asset value, or 8.6 percent based on PPI’s market price. The acceptance period is expected to run from November 6 to December 7.
SBB, which owns approximately 35 percent of Preservium, has expressed a positive view of the offer but has not committed to accepting it.
In addition to the bid for Preservium, PPI also intends to launch two separate bids for Origa Care and One Publicus at EUR 9 and SEK 110 per share, respectively. The consideration consists of 70 percent newly issued PPI shares (at a price of SEK 25.67) and 30 percent cash, according to a separate press release.
In the event of full acceptance, the total consideration amounts to SEK 442 million, comprising SEK 133 million in cash and SEK 309 million in shares.
PPI already holds approximately one percent of Origa Care and 36 percent of One Publicus. Origa Care owns 13 fully leased healthcare properties in Finland, while One Publicus owns three properties in Sweden, primarily housing operations such as primary schools, elderly care facilities, group homes for persons with disabilities (LSS housing), and health centers.
